Scope and Content

Memorandum of Agreement between S Frame and A.A. Osborn to settle a note of $4,447.15 owed to A.A. Osborne against the Benicia Electric Light & Motor Co. This was a way for Osborn to settle his claim even though the plant is pledged to J.R. Pitts as security for money owed him. The specific terms of the agreement are very complicated and I'm not sure I fully understand it. The end result seems to be that A.A. Osborn will run the plant and will have a two year option to purchase a 50% share in the plant.
